SoleCrypt reserves the right to amend these Terms at any time. The applicable version is thatpublished at the date of access.

2. Website Description -Informational nature

The Website is made available for institutional information purposes about SoleCrypt, its activities, solutionsand news. It has no direct commercial function and incorporates no transactional features. No products orservices are sold or acquired directly via the Website.The Website includes a contact form enabling users to submit enquiries to SoleCrypt. Use of this form issubject to the Website's Privacy Policy.

3. SoleCrypt Commercial Services -Separate Contracts

‍

SoleCrypt's commercial services -including colocation, dedicated bare metal servers, GPU capacity for AIand HPC workloads, connectivity, remote hands / smart hands services and disaster recovery capabilities-are governed by service contracts separate from these Terms.These service contracts include in particular:

  • SoleCrypt's General Terms of Service (GTS) applicable to each type of service
  • Where applicable, a Data Processing Agreement (DPA) compliant with Article 28 GDPR and UKGDPR, entered into between SoleCrypt and the customer upon request or where required by thecircumstances
  • Security Schedules specifying the technical and organisational measures implemented
  • Where applicable, Standard Contractual Clauses (SCCs) or IDTAs for international data transfers

4. SoleCrypt's GDPR Positioning
‍

SoleCrypt positions itself as a pure physical infrastructure provider and operates on a No-Access Model.This means that:

‍

  • SoleCrypt does not provide managed services at the logical layer of customer environments
  • SoleCrypt has no access to customers' servers, virtual machines, consoles, hypervisors, backups oractivity logs
  • Customers retain exclusive control over their encryption keys, administrative credentials and theirdata
  • Customer environments are technically segregated from one another, both logically and physicallywhere required

This public positioning statement is consistent with similar statements published by Equinix ('Equinix MetalData Privacy Positioning Statement'), OVHcloud and other international colocation operators.

5. Access, Availability and Limitation of Liability

Access to the Website is free of charge. SoleCrypt endeavours to ensure availability of the Website butcannot guarantee uninterrupted continuity. SoleCrypt reserves the right to modify, suspend or discontinueall or part of the Website at any time and without notice.Website content is provided for general informational purposes only and does not constitute professionaladvice. To the fullest extent permitted by English and Welsh law (UCTA 1977, Consumer Rights Act 2015),SoleCrypt excludes all liability for loss or damage resulting from use of the Website.

Any unauthorised reproduction, including for the purpose of training artificialintelligence systems, is prohibited.The trade mark 'SoleCrypt' is registered in Tunisia (all classes -INNORPI). A European Union trade markapplication at the EUIPO is in preparation.

8. Governing Law and Jurisdiction

These Terms are governed by the law of England and Wales. Any dispute shall be subject to the exclusivejurisdiction of the courts of England and Wales.
